User Agreement
ACCEPTANCE OF TERMS
uRefer LLC provides its service to you, subject to the following User Agreement. By accessing any page on any uRefer owned web site, you agree to be bound by these terms and conditions. In order to become a uRefer registered user, you must read and accept all of the terms and conditions of this agreement and the Privacy Policy. In addition, when using particular uRefer services, you may be subject to additional posted guidelines or rules.
uRefer reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this website. Your continued use of the uRefer service indicates your acceptance of the amended User Agreement.
USE OF SERVICE
You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to immediately notify uRefer of any unauthorized use of your password or account. uRefer cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
uRefer may refuse service without prior notice to any user for any or no reason.
PERSONAL DATA
In consideration of your use of the Service, you agree to provide true accurate, current and complete information about yourself as prompted by any personal data request on any uRefer web site. USER CONDUCT
You understand and agree not to use uRefer to:
- Post content or initiate communications which are unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable.
- Use the uRefer Service for any illegal purpose, including but not limited to conspiring to violate laws.
- Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present.
- Upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
- Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
- Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation. This prohibition includes but is not limited to Sending Referral Opportunity Introductions to people who don’t know you or who are unlikely to recognize you as a known contact.
- Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
- Interfere with or disrupt the uRefer Service, or disobey any requirements, procedures, policies or regulations of networks connected to the uRefer Service.
USE OF PROSPECT DATA
As a Marketer you agree to only use a Prospect’s data for the sole purpose of trying to close the deal for which they accepted that specific introduction. As a Marketer you agree not to store the information of a Prospect for any future marketing purposes, nor to pass on the Prospect’s information to third parties without their previous consent.
INFORMATION PROVIDED ON THIS WEBSITE
In the course of using the uRefer Service, users may provide information about themselves which may be visible to certain other users (see our Privacy Policy to learn more about information collected on this website). You understand that by posting materials on the uRefer website or otherwise providing materials to uRefer, you are granting to uRefer a royalty-free, perpetual, irrevocable license to use this information in the course of offering the uRefer service. Furthermore, you understand that uRefer retains the right to reformat, excerpt, or translate any materials submitted by you. You understand that all information publicly posted or privately transmitted through the uRefer Service is the sole responsibility of the person from which such content originated and that uRefer will not be liable for any errors or omissions in any content. You understand that uRefer cannot guarantee the identity of any other users with whom you may interact in the course of using the uRefer Service. Additionally, we cannot guarantee the authenticity of any data which users may provide about themselves or relationships they may describe.
FEES
Signing up for a basic uRefer account is free. Certain other services are provided for a fee. uRefer reserves the right to charge for the uRefer Service or any portion thereof, modify the pricing of, add to, or discontinue the uRefer Service or any portion thereof without prior notice.
INDEMNITY
You agree to indemnify and hold uRefer, and its subsidiaries, affiliates, officers, agents, business partners, employees, successors or assigns harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, upload, post to or transmit through the Service, your use of the Service, your connection to the Service, your violation of the User Agreement or your violation of the rights of a third party.
MODIFICATION OR TERMINATION TO SERVICE
uRefer reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice to you. You agree that uRefer, in its sole discretion, may terminate your password, account (or any part thereof) or your use of the Service, and remove and discard any Content for any reason, including, without limitation, for lack of use or if uRefer believes that you have violated or acted inconsistently with the letter or spirit of this User Agreement. uRefer may also in its sole discretion, and at any time, discontinue providing the Service, or any part thereof, with or without notice to you. You agree that uRefer shall not be liable to you for any loss or damage you may suffer due to any modification, suspension, termination or discontinuance of the Service.
DEALINGS WITH THIRD PARTIES
Your correspondence or business dealings with, or participation in referral opportunities with third parties (including other uRefer registered users) found on or through the Service, including payment of rewards and commissions and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that uRefer shall not be responsible or liable for any loss or damage of any sort incurred by you as the result of any such dealings or as the result of the presence of such third parties on the Service.
LINKS
From time to time, you may find, links to third party websites from the Service. You acknowledge your understanding that your access to and use of any third party website will be governed by the terms and conditions belonging to such third party. uRefer does not endorse and is not responsible for your use of or exposure to any content, advertising, products, or other materials found at or available from these websites. You further acknowledge and agree that uRefer shall not be responsible or liable, directly or indirectly, for any damage or loss you may suffer or allege to suffer in connection with your use of or reliance upon any content, goods or services available on or through any third party website.
DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UREFER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
(b) UREFER MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, AND (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
(c) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM UREFER OR THROUGH THE USE OF THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE USER AGREEMENT.
LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT UREFER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, VENDORS OR OTHER BUSINESS PARTNERS, SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR USE OR INABILITY TO USE THE SERVICE; (ii) THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE.
TRADEMARK INFORMATIONuRefer, uRefer.com and Creating Rewarding Connections are trademarks and/or service marks of uRefer LLC You shall not display or use in any manner, the uRefer Marks, without uRefer's prior written permission. All other brand and product names found on the uRefer site are considered trademarks or registered trademarks of their respective companies.
You may not place or reproduce any trademarks, service marks, or logos that are not owned by you or licensed to you on any uRefer profiles or Offers. Words, names, and designs used to identify services or products are considered trademarks, service marks, and/or logos.
The same policy applies for copyrights. You may not use copyrighted materials from artists, photographers, publishers, writers, composers, and other authors of original works unless they are specifically licensed to you by the copyright holder.
GENERAL INFORMATION
The User Agreement constitutes the entire agreement between you and uRefer and governs your use of the Service, superseding any prior agreements between you and uRefer. You also may be subject to additional terms and conditions that may apply when you use affiliate services, or third-party content. This User Agreement and the relationship between you and uRefer shall be governed by the laws of the State of Michigan, without regard to its conflict of law provisions. You and uRefer agree to submit to the personal and exclusive jurisdiction of the courts located within Washtenaw county, Michigan. The failure of uRefer to exercise or enforce any right or provision of this User Agreement shall not constitute a waiver of such right or provision. If any provision of this User Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this User Agreement remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or this User Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
The section titles in the User Agreement are for convenience only and have no legal or contractual effect.
VIOLATIONS.
Please report any violations of the User Agreement to our Customer Service group via email.
