DETAILS & ELIGIBILITY TERMS
DISCLOSURES:
- A Referral Award will only be paid once for any Zeo Personal Sleep Coach.
In the event that a Prospect is referred by more than one Connector, then only the first Connecter
that submitted such Prospect will receive the Referral Award.
- The referral program is not open to, and no Referral Award will be paid to, any (i) Connector
that refers herself/himself as a Prospect, (ii) employee of Zeo, Inc., (iii) Connector or Prospect
in any jurisdiction where there exists any law or regulation that would prohibit the payment of a
Referral Award or participation in the referral program.
- No Referral Award shall be paid in connection with a referral (i) to a Prospect that is already
a customer of Zeo, Inc., or (ii) that does not result in a sale of Zeo Personal Sleep Coach within
the designated time frames.
- The Referral Award shall be the only compensation due Connector for referring Prospects to
through this program.
- The relationship between Connector and Zeo, Inc. shall not be construed to be that of employer
and employee, or to constitute a partnership, joint venture, commissionaire or agency of any kind.
- Connector will receive the Referral Award only for a sale of a Zeo Personal Sleep Coach to a
Prospect that occurs during the 45-day period following the referral being submitted to such Prospect.
- Any dispute arising between Zeo, Inc. and any Prospect or Connection will the referral program
will be governed by the laws of the Commonwealth of Massachusetts. Any suit arising out of this
referral program will be brought in the federal or state courts in the Commonwealth of Massachusetts.
- IN NO EVENT SHALL ZEO, INC. BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION,
INCIDENTAL AND CONSEQUENTIAL DAMAGES OR LOST PROFITS) RESULTING FROM ANY PROSPECT'S OR CONNECTOR'S
PARTICIPATION IN THE REFERRAL PROGRAM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING
NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
